How to Register a Limited Liability Company in Delaware
- 1). Conduct a name availability search to determine whether the business name you want to use is available. You can use the name availability search tool on the Delaware Department of State's Division of Corporations website. Business names already registered cannot be used by other business entities.
- 2). File a certificate of formation with the Delaware Department of State's Division of Corporations. Download certificate of formation documents from the Division of Corporations website or call the secretary of state's office at 302-739-3073 to request a hard copy.
- 3). Designate a registered agent in the certificate of formation. A registered agent is a person or business entity with a physical address in Delaware that agrees to be the recipient of official business documentation from the state. If your business has a physical address in Delaware, you may act as the registered agent. A list of approved registered agents is available on the Division of Corporations website if you do not have a person or business entity to serve as your registered agent.
- 4). Mail or fax the certificate of formation along with a $90 filing fee. Make checks payable to the Delaware Secretary of State. The address:
